Terms of Use

 

  • The DMI Ecosystem Platform (hereinafter referred to as DMI) has been developed by ConnAct.online. The licensee is the organization that has purchased a subscription (license) to the DMI platform.
  • The user is the person granted the rights to log into the DMI platform.
  • The information stored in the DMI Platform and/or information exchanged with it may not be unlawful and, for example, may not infringe on the rights of others.
  • The DMI Platform may not be used for unlawful purposes.
  • Licensee is responsible for taking appropriate protective measures to protect User's information from loss and unwarranted processing.
  • Licensee and DMI make every effort to keep the DMI Platform available to Users, but cannot guarantee that this will always be the case because they simply do not have complete control over all relevant circumstances.
  • User is responsible for his use of the DMI Platform and the content of his exchanged information.
  • User must use provided or self-created Authentication Tools (usernames and passwords) confidentially, personally and carefully to prevent unauthorized users/third parties from accessing the DMI Platform.
  • Licensee is responsible for its systems and infrastructure.
  • Any personal data stored in the DMI Platform will be processed in accordance with applicable privacy laws and the processing agreement entered into between Licensee and DMI. Licensee is thereby deemed to be the processing controller, and DMI is thereby deemed to be the processor.
  • The terms of use
  • The DMI Platform has been developed by ConnAct.onine (trading under Swaak&Crooijmans BV) (hereinafter "ConnAct"). The Licensee of the DMI Platform hereby grants to User the right to use the DMI Platform under the following conditions. In case of questions, User should contact the Administrator/Licensee.

 

Article 1. Definitions

  1. Authentication means: the (combination of) data and/or means with which User can authenticate in the DMI Platform, such as the combination of username/password, unique (pin) codes generated by means of tools or otherwise, etc.
  2. User: the natural person who uses the DMI Platform with the consent of the Administrator.
  3. Administrator: the administrator of the DMI Platform appointed by Licensee who has received accreditation to allow Users on the DMI Platform and provide Authentication Resources.
  4. Terms of Use: the present terms and conditions for the User's use of the DMI Platform.
  5. License: the right to use the DMI Platform.
  6. DMI Platform: the software platform (including underlying database) developed by ConnAct, as well as all new and improved versions thereof.
  7. Licensee: ConnAct's client with whom the Agreement is made.
  8. Agreement: the agreement entered into between ConnAct and Licensee regarding the use of the DMI Platform.

 

Article 2. Use of the DMI Platform

  1. Licensee hereby grants to User a non-exclusive, non-sublicensable and non-transferable License, subject to full compliance with these Terms of Use.
  2. The DMI Platform may be used only for the purpose of communication between Users, between User and Licensee, and between User and ConnAct.
  3. User determines what data is stored and/or exchanged using the DMI Platform. User is therefore responsible for ensuring that such data is lawful and does not infringe on the rights of third parties. Licensee and ConnAct accept no liability whatsoever for data stored and/or exchanged using the DMI Platform.
  4. If Licensee or ConnAct have knowledge or come to the realization that any data or information stored and/or exchanged by User using the DMI Platform is unlawful, Licensee and/or ConnAct will act promptly to remove or disable access to such data or information. In no event shall Licensee and ConnAct be liable for any damages resulting from such action.
  5. User may only use the DMI Platform for legitimate purposes and shall not misuse the DMI Platform, or store or disseminate any unlawful data therein through the DMI Platform, nor otherwise behave unlawfully or carelessly.
  6. Administrator is responsible for providing access to the DMI Platform (e.g. when providing Authentication Resources) to User(s).

 

Article 3. Use of Authentication Means

  1. User is responsible for the Authentication Means provided to him or created by him. User shall treat these personal Authentication Means with care and keep them secret. User shall take effective measures to prevent misuse of Authentication Means.
  2. Neither Licensee nor ConnAct shall be liable for misuse of Authentication Means and may assume that a User who logs on using the Authentication Means is a user of the DMI Platform authorized by Licensee.
  3. As soon as User knows or has reason to suspect that Authentication Means have come into the hands of unauthorized persons, User shall notify the Administrator thereof, without prejudice to User's own obligation to immediately take effective measures itself by, for example, setting other usernames and passwords or suspending the account concerned. In such a case, the Administrator shall take appropriate measures, whether or not in cooperation with DMI.

 

Article 4. Storage and processing of personal data

  1. Personal data is processed when using the DMI Platform, such as the storage of that data on DMI servers. Licensee is considered the data controller in this respect. This means that the responsibility for compliance with applicable privacy laws when processing personal data lies with Licensee. ConnAct is thereby considered a processor. In that capacity, ConnAct will comply with the agreements in the processing agreement entered into with Licensee. ConnAct will only perform other processing on behalf of Licensee or if there is a legal obligation to do so.

 

Article 5. Duration and termination

  1. The duration of the License is equal to the duration of the Agreement. The duration of the License may be limited by conditions set by the Administrator (for example, a right of use per project or per year).
  2. If User does not comply with the conditions set by Licensee (for example, these Terms of Use or additional terms of use imposed by Administrator) then the License may be (temporarily) suspended or terminated.
  3. In such a situation, Licensee and ConnAct shall in no event be liable for any refund, compensation or damages to User.
  4. Upon termination of the License - on any grounds and for any reason - all rights granted to User under these Terms of Use automatically expire and no further use of the DMI Platform is permitted.
